Terms of Service

The agreement between you and Waterline.

These terms govern your use of the Waterline desktop application and this website. By installing or using Waterline, you agree to them. If you do not agree, do not use the software.

1. Who you are contracting with

The Waterline application and this website are provided by Waterline, 5 Gull Ln, Edgartown, MA 02539, United States (“we”, “us”).

Payments are processed by Lemon Squeezy, which acts as the merchant of record for your purchase. Your payment contract is with them; your licence to use the software is with us.

2. What Waterline is

Waterline is a desktop application that connects to advertising and commerce accounts you already control, applies business economics you supply, and presents your advertising performance measured against your own break-even point. It can also prepare certain changes to your Meta advertising for you to approve.

Waterline is an analysis and control tool. It is not an advertising agency, a financial adviser, or an accountant, and nothing it displays is advice of that kind. See section 9.

3. Your licence

Subject to these terms and an active subscription, we grant you a personal, non-exclusive, non-transferable licence to install and use Waterline for your own business purposes, on the number of devices included in your plan.

5. The Assistant and included AI usage

Plans include a monthly allowance of Waterline Assistant messages. Once the allowance is used, the Assistant is unavailable until the allowance resets at the start of the next calendar month, unless you supply your own API key — which is unmetered and unaffected by the allowance.

Assistant responses are generated by a third-party artificial-intelligence model. They may be wrong. You are responsible for checking anything before acting on it. We do not warrant that any figure, analysis or recommendation the Assistant produces is accurate or suitable for your business.

Changes to your advertising

Waterline can prepare changes — pausing, resuming, budget edits, renaming and archiving — but never sends anything to Meta without your explicit approval. Each change is shown to you with the exact request that will be made. Once you approve it, the change is yours: you are responsible for its effect on your advertising and your spend.

6. Accounts you connect

Waterline works with services you already have, including Meta and optionally Shopify. You are responsible for holding the right to access those accounts and for complying with their terms. We are not responsible for those services being unavailable, changing their interfaces, restricting your access, or for the accuracy of the data they return.

Advertising figures reported by Meta are Meta’s own attributed figures and will not always agree with your store’s records. Waterline shows both where it can; neither is guaranteed to be correct.

8. Availability

The application runs on your computer and continues to work for connected accounts even if our services are unavailable. Some features depend on our servers — the included Assistant allowance, licence checks and application updates — and those may be interrupted. We do not guarantee uninterrupted availability, and we may change or discontinue features with reasonable notice.

9. No warranty, and no financial advice

Waterline is provided “as is”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Nothing in the application or on this website is financial, investment, tax, accounting or legal advice. Break-even points, profit figures, margins and any Assistant analysis are calculations based on data you supply and data returned by third parties. You should verify them independently before making any commercial decision.

10. Limitation of liability

To the fullest extent permitted by law, we are not liable for lost profits, lost revenue, lost advertising spend, lost data, loss of goodwill, or any indirect or consequential loss arising from your use of Waterline — including any decision made in reliance on figures it displays.

Our total aggregate liability arising out of or relating to these terms is limited to the amount you paid us in the twelve months immediately before the event giving rise to the claim.

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. If you are a consumer, your statutory rights are unaffected.

11. Ownership

We own the software, this website, and all associated intellectual property. You own your data. Nothing in these terms transfers ownership of either.

12. Suspension and termination

You may stop using Waterline at any time by cancelling your subscription and uninstalling it. We may suspend or terminate your licence if you materially breach these terms — including sharing licence keys or attempting to circumvent plan limits — and will normally give you notice and an opportunity to put it right first.

On termination your licence ends. Data held on your own computer remains yours and is unaffected.

13. Changes to these terms

We may update these terms. The date at the top of this page will change, and where an update materially affects your rights we will tell you by email at least 30 days beforehand. Continuing to use Waterline after a change takes effect means you accept it.

14. Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Massachusetts have exclusive jurisdiction over any dispute, except that if you are a consumer you may also bring proceedings in the country where you live.
